Transaction Execution
Lead/ assist end-to-end execution of GPU infrastructure transactions, including asset acquisitions, compute rental arrangements, joint ventures, and structured finance deals
- Own deal structuring from inception through to signed documentation and financial close
- Prepare and present investment committee materials, including financial models, term sheets, and deal memos
Contract Negotiation & Legal Documentation
- Draft, review, and negotiate the full suite of transaction documents: master services agreements, GPU compute rental agreements, JV term sheets and shareholder agreements, NDAs, letters of intent, facility agreements, and SPV constitutional documents
- Manage external counsel across multiple jurisdictions; serve as the internal principal counterpart on all legal workstreams
