Debt Capital Markets Attorney Canada

Location: Toronto

We are seeking a Debt Capital Markets Counsel to join our Corporate and Securities team. This role centres on bond issuances, capital-raising transactions, and covenant structuring, with a focus on high-yield and international debt offerings. We are looking for a hands‑on attorney with deep expertise in Canadian securities law and SEC regulations governing debt securities, including experience advising on credit ratings, debenture offerings, and complex financing structures. The ideal candidate will bring strong experience executing transactions under the Securities Act of 1933, including high-yield bonds, Rule 144A offerings, Eurobonds, and EMTN programs, along with robust transactional and regulatory capabilities across the debt capital markets lifecycle.
