COR-201 Governance Manager ガバナンスマネージャー

Position Overview

• Design, review, and make final decisions on contract terms (including outsourcing, service, and subcontracting agreements)
• Identify and assess contractual risks specific to IT, AI, data, and R&D projects
• Draft contract proposals and revision language based on legal opinions from external counsel
• Lead and coordinate negotiations and alignment with internal and external stakeholders (core team members are mainly in their 30s)
• Design and operate the overall contract lifecycle and governance processes
• Manage team members’ workloads and provide direction and guidance

主な業務内容

• 契約の条件設計・レビューと最終判断（外注契約・業務委託契約・再委託契約など）
• IT・AI・データ・研究開発案件を前提とした契約リスク整理
• 弁護士見解を踏まえた契約案・修正文案の策定
• 社内外ステークホルダーを巻き込む交渉・調整の統括（チームは30代中心）
• 契約ライフサイクルとガバナンスプロセス全体の設計・運用
• メンバーの業務管理・指示
